1. Acceptance of Terms

By accessing or using the platform at www.maritimenexus.com ("the Platform"), operated by Maritime Nexus LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("Maritime Nexus", "we", "us" or "our"), you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you must not use the Platform.

2. Description of Service

Maritime Nexus is a global maritime advisory and brokerage platform connecting professionals, companies and clients in the maritime industry, offering networking, specialized advisory, charter of vessels, sale and purchase of floating units, port advisory, strategic energy and trade solutions, and training through our Academy and Courses.

3. The Platform as Intermediary — No Broker Liability

Maritime Nexus operates solely as a connection and information platform. Unless expressly stated in a separately signed agreement, Maritime Nexus does not act as a ship broker, agent, freight forwarder, customs broker, or contracting party in any negotiation, charter, vessel sale and purchase, or other transaction between users. Maritime Nexus does not independently verify the identity, creditworthiness, vessel ownership, flag status, insurance, or regulatory compliance of any user, and is not a party to or guarantor of any agreement entered into between users of the Platform. Any transaction, negotiation, or contract between users is undertaken at their sole risk and responsibility, and you are responsible for conducting your own due diligence (including vessel inspection, title verification, and sanctions screening) before contracting.

4. Eligibility and Registration

To register on the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into binding contracts. When creating an account, you agree to provide truthful, accurate and up-to-date information, and to keep it current.

You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account. You must notify us immediately of any unauthorized use of your account by writing to services@maritimenexus.com.

7. Fees, Payments, Refunds and Cancellations

Some services, memberships or courses offered through the Platform are subject to payment. Payments are processed securely through Stripe; Maritime Nexus does not store payment card data. Pricing and terms for each service will be indicated at the time of purchase. Unless otherwise stated at checkout, payments for courses, memberships and digital services are non-refundable once access to the content or service has been granted; refund requests will be reviewed on a case-by-case basis by writing to services@maritimenexus.com within 14 days of purchase.

8. Sanctions and Trade Compliance

You represent and warrant that neither you, your company, nor any vessel, asset or transaction you promote through the Platform is subject to economic or trade sanctions imposed by OFAC (U.S.), the European Union, the United Kingdom, the United Nations, or any competent authority, and does not appear on any blocked persons or entities list, and does not involve embargoed jurisdictions. Maritime Nexus reserves the right to suspend or terminate any account, listing or transaction it reasonably believes to be connected to sanctioned activity, "shadow fleet" vessels, or sanctions-evasion schemes, without prior notice.

9. Intellectual Property

All content on the Platform including text, graphics, logos, Academy materials and software is the property of Maritime Nexus LLC or its licensors and is protected by applicable intellectual property laws. Reproduction or distribution without express authorization is prohibited. By posting content to your profile or listing, you grant Maritime Nexus a non-exclusive, worldwide, royalty-free license to display that content on the Platform, and you represent that you hold the necessary rights to it.

10. Third-Party Links and Services

The Platform may contain links to third-party sites or services. Maritime Nexus does not control and is not responsible for the content, policies or practices of such third parties. Access to these links is at your own risk.

11. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MARITIME NEXUS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT INFORMATION POSTED BY OTHER USERS (INCLUDING VESSEL STATUS, OWNERSHIP OR CONDITION) IS ACCURATE OR CURRENT.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARITIME NEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF BUSINESS, REVENUE OR DATA, ARISING FROM USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS. MARITIME NEXUS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MARITIME NEXUS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

13. Indemnification

You agree to indemnify and hold harmless Maritime Nexus LLC, its officers and employees, from any claim, damage or expense (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or any transaction you enter into with another user.

14. Termination

Maritime Nexus reserves the right to suspend or terminate access for any user who breaches these Terms, without prior notice, whenever deemed necessary to protect the Platform or other users. You may cancel your account at any time by contacting us.

15. Governing Law, Jurisdiction and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising out of these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, and you consent to such jurisdiction and waive any objection on grounds of forum non conveniens.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement and Assignment

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Maritime Nexus regarding use of the Platform. Maritime Nexus may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign your rights or obligations without our prior written consent.

18. Force Majeure

Maritime Nexus shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, armed conflict, government sanctions, or internet infrastructure or third-party provider failures.

19. Changes to These Terms

We reserve the right to update or modify these Terms of Use at any time. Changes will be effective upon publication on the Platform. Continued use of the Platform after such changes constitutes your acceptance of them.
